Welcome to Boundix. These Terms of Service ("Terms") govern your access to and use of the Boundix platform, website, and services (collectively, the "Service"). Please read these Terms carefully before using our Service.
1. Acceptance of Terms
By creating an account, accessing, or using Boundix, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.
If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
2. Description of Service
Boundix is a scope protection and payment tracking platform designed for freelancers. Our Service includes:
- Project Management - Create and manage freelance projects with defined scope items
- Scope Tracking - Track deliverables, revision limits, and work progress
- Client Portal - Provide clients with secure access to view and approve project scope
- Change Order System - Handle scope changes with documented approval workflows
- Payment Milestones - Set up and track payment schedules tied to deliverables
- Payment Reminders - Automated reminders for overdue payments
- PDF Agreements - Generate professional scope agreement documents
- Activity Logging - Maintain audit trails of all project activities
3. Account Registration
3.1 Account Creation
To use Boundix, you must create an account. When registering, you agree to:
- Provide accurate, current, and complete information
- Maintain and update your information as needed
- Keep your password secure and confidential
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use
3.2 Account Eligibility
You must be at least 16 years old to use Boundix. By using the Service, you represent that you meet this age requirement.
3.3 Account Types
Boundix offers different account tiers:
- Free Plan - Limited to 2 active projects
- Pro Plan - Unlimited projects with premium features
- Lifetime Plan - One-time purchase with permanent Pro access
4. User Responsibilities
4.1 Acceptable Use
You agree to use Boundix only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Use the Service for any illegal or unauthorized purpose
- Upload malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the Service or servers
- Scrape, harvest, or collect user data without consent
- Impersonate another person or entity
- Use the Service to spam, harass, or harm others
- Violate any applicable laws or regulations
4.2 Client Data and Communications
When using Boundix to manage client relationships:
- You are responsible for obtaining necessary consents from clients
- You must ensure client email addresses are accurate before sending communications
- You agree not to use the Service to send unsolicited communications
- Client portal links are meant only for intended recipients
4.3 Accuracy of Information
You are responsible for the accuracy of all information you enter into Boundix, including:
- Client contact details
- Project scope and deliverables
- Payment amounts and due dates
- Business information used in PDF agreements
5. Intellectual Property
5.1 Your Content
You retain full ownership of all content you create and store in Boundix, including:
- Project descriptions and scope items
- Client information and notes
- Business details and branding
By using the Service, you grant us a limited license to store, display, and process your content solely to provide the Service to you.
5.2 Our Intellectual Property
Boundix and its original content, features, and functionality are owned by Boundix and protected by copyright, trademark, and other intellectual property laws. You may not:
- Copy, modify, or distribute our software
- Reverse engineer or decompile any part of the Service
- Use our trademarks without written permission
- Remove any copyright or proprietary notices
5.3 Feedback
If you provide suggestions, ideas, or feedback about Boundix, you grant us the right to use such feedback without restriction or compensation.
6. Subscription and Payments
6.1 Billing
Pro subscriptions are billed monthly or annually in advance through our payment processor, Dodo Payments. You agree to:
- Provide accurate billing information
- Maintain valid payment methods
- Pay all applicable fees and taxes
6.2 Price Changes
We may change subscription prices with 30 days' notice. Price changes will apply to the next billing period after the notice.
6.3 Refunds
- Monthly subscriptions - No refunds for partial months
- Annual subscriptions - Prorated refunds available within 30 days of purchase
- Lifetime plans - Refunds available within 14 days of purchase
6.4 Free Trial
We may offer free trials at our discretion. Free trial terms will be specified at signup.
7. Client Portal Terms
7.1 Portal Access
The client portal is a feature that allows your clients to view and interact with projects without creating an account. By using this feature:
- You authorize us to send portal links to your clients
- You are responsible for ensuring links are sent to correct recipients
- Portal tokens may expire or be regenerated for security
7.2 Client Actions
When clients approve scope, change orders, or take other actions through the portal:
- Approvals are captured with timestamps and email verification
- These records serve as documentation of client agreements
- Boundix does not guarantee legal enforceability of approvals
7.3 Portal Communications
Comments and messages submitted through the client portal are stored and visible to both you and your clients. You are responsible for monitoring and responding to client communications.
8. PDF Agreements and Documents
8.1 Document Generation
Boundix allows you to generate PDF scope agreements. These documents:
- Are based on information you provide
- Include standard terms and conditions
- Can be customized with your business details
8.2 Legal Status
PDF agreements generated by Boundix are intended as documentation tools. Boundix:
- Does not provide legal advice
- Does not guarantee documents meet your jurisdiction's requirements
- Recommends consulting a legal professional for binding contracts
- Is not responsible for disputes arising from document content
9. Email Communications
9.1 Transactional Emails
By using Boundix, you authorize us to send emails on your behalf to:
- Notify clients when scope is sent for approval
- Alert clients about change order requests
- Send payment reminders for overdue milestones
- Notify you about client actions and project updates
9.2 Email Delivery
We use Resend for email delivery. While we strive for reliable delivery:
- We cannot guarantee all emails will be delivered
- Email delivery depends on recipient email providers
- You should have alternative communication methods with clients
9.3 Sender Information
Emails sent through Boundix will be sent from our domain but may include your name and business information. You are responsible for ensuring this information is accurate.
10. Data and Privacy
Your privacy is important to us. Please review our Privacy Policy for information about how we collect, use, and protect your data.
10.1 Data Ownership
You own your data. We will not sell, share, or use your data beyond providing the Service without your consent.
10.2 Data Export
Pro users can export their data in JSON or CSV format. Free users can request data exports by contacting support.
10.3 Data Deletion
You may delete your account and all associated data at any time through Settings > Account > Delete Account. Deletion is permanent and cannot be undone.
11. Service Availability
11.1 Uptime
We strive to maintain high availability but do not guarantee uninterrupted service. We may experience:
- Scheduled maintenance (with advance notice when possible)
- Unscheduled downtime due to technical issues
- Service interruptions beyond our control
11.2 Modifications
We may modify, suspend, or discontinue any part of the Service at any time. For material changes, we will provide reasonable notice when possible.
11.3 Backups
While we maintain backups for disaster recovery, you are responsible for maintaining your own copies of critical information.
12. Third-Party Services
12.1 Payment Processing
Subscription payments are processed by Dodo Payments. Your use of payment services is subject to Dodo Payments' terms of service.
12.2 Authentication
If you sign in using Google OAuth, your authentication is subject to Google's terms of service.
12.3 Integrations
Future integrations with third-party services will be subject to those services' respective terms.
13. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY OR RELIABILITY OF CONTENT
- UNINTERRUPTED OR ERROR-FREE SERVICE
Boundix does not warrant that:
- The Service will meet your specific requirements
- Results obtained from the Service will be accurate
- Any errors will be corrected
- The Service will be secure or virus-free
14. Limitation of Liability
14.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FREELANCEGUARD SHALL NOT BE LIABLE FOR:
- INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
- LOSS OF PROFITS, REVENUE, OR DATA
- BUSINESS INTERRUPTION
- COST OF SUBSTITUTE SERVICES
- DAMAGES RESULTING FROM YOUR USE OF THE SERVICE
14.2 Cap on Liability
FREELANCEGUARD'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM
- ONE HUNDRED DOLLARS ($100)
14.3 Basis of the Bargain
THE LIMITATIONS IN THIS SECTION REFLECT THE ALLOCATION OF RISK AND ARE AN ESSENTIAL BASIS OF THE AGREEMENT BETWEEN YOU AND FREELANCEGUARD.
15. Indemnification
You agree to indemnify, defend, and hold harmless Boundix and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Content you submit or transmit through the Service
16. Termination
16.1 By You
You may terminate your account at any time by:
- Deleting your account through Settings
- Contacting us at support@freelanceguard.com
16.2 By Boundix
We may suspend or terminate your account if:
- You violate these Terms
- You engage in fraudulent or illegal activity
- Your account is inactive for an extended period
- Continued service is not commercially viable
- Required by law
16.3 Effect of Termination
Upon termination:
- Your right to use the Service immediately ceases
- Your data may be deleted after a reasonable period
- Provisions that should survive termination will survive (including intellectual property, disclaimers, and limitation of liability)
16.4 No Refund on Termination for Cause
If we terminate your account for violations of these Terms, you will not be entitled to refunds.
17. Dispute Resolution
17.1 Informal Resolution
Before filing a formal dispute, you agree to contact us at support@freelanceguard.com to attempt informal resolution. Many disputes can be resolved quickly and amicably through direct communication.
17.2 Governing Law
These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.
17.3 Jurisdiction
You agree to submit to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California for any disputes arising from these Terms or the Service.
17.4 Class Action Waiver
You agree to resolve disputes on an individual basis. You waive any right to participate in class actions or class arbitration.
18. General Provisions
18.1 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Boundix regarding the Service.
18.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
18.3 Waiver
Our failure to enforce any provision of these Terms is not a waiver of our right to enforce that provision in the future.
18.4 Assignment
You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights without restriction.
18.5 Notices
We may send notices to you via email or through the Service. You may send notices to us at support@freelanceguard.com.
18.6 Force Majeure
We are not liable for delays or failures resulting from circumstances beyond our reasonable control, including natural disasters, war, terrorism, strikes, or infrastructure failures.
19. Changes to These Terms
We may modify these Terms at any time. When we make changes:
- We will update the "Last Updated" date
- For material changes, we will provide notice via email or the Service
- Continued use of the Service after changes constitutes acceptance
If you do not agree to modified Terms, you must stop using the Service.
